Terms of Service

These Terms of Service ("Terms") form a binding agreement between Repmation LLC ("Repmation," "we," "us," or "our") and the business or organization that creates, purchases, or uses a Repmation account ("Customer," "you," or "your"). By accepting these Terms during signup, purchasing a subscription, or using Repmation, you agree to these Terms, the Privacy Policy, and the Refund and Cancellation Policy.
Business Use and Authority
Repmation is offered for business and professional use. You represent that you are at least 18 years old, have authority to bind the Customer, and will use Repmation only for lawful business purposes. If you accept these Terms for a company or other entity, "you" includes that entity.
The Service
Repmation provides tools for branded QR review pages, Google review-link access, optional private feedback, activity tracking, technician or team attribution, owner dashboards, and related account and billing functions. Features may change over time. Repmation is not a consumer review platform, does not post reviews for customers, and does not verify that a reviewer used a Customer's services.
Accounts and Security
You must provide accurate information, keep account and billing details current, safeguard credentials and devices, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account, including actions by owners, employees, contractors, technicians, and other authorized users. You may not share credentials with unauthorized persons or attempt to access another customer's account.
Review Solicitation and Platform Compliance
You control when, where, and with whom you share a Repmation review page. You are solely responsible for ensuring that your review-request practices, customer communications, incentives, and use of review content comply with applicable law and the rules of Google and any other review platform.
You may not use Repmation to:
- request reviews from people who did not have a genuine experience with your business;
- selectively request public reviews based on whether you expect a positive response, hide or withhold the Google review option based on sentiment, or otherwise engage in review gating;
- offer payment, discounts, free goods or services, prizes, or other benefits in exchange for a Google review, a particular star rating, a positive review, changing a review, or removing a negative review;
- create, purchase, sell, arrange, exchange, or submit fake, false, misleading, impersonated, employee, insider, AI-generated, or coordinated reviews in violation of law or platform policy;
- coerce, pressure, threaten, harass, or retaliate against anyone for providing or declining to provide a review or private feedback; or
- misrepresent Repmation as approved, sponsored, certified, or operated by Google.
Repmation may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect customers, review platforms, third parties, or Repmation. Repmation does not provide legal advice, and product features do not guarantee that any particular use is lawful or platform-compliant.
Customer Content and Private Feedback
"Customer Content" includes business information, branding, logos, team information, review-page configuration, messages, and other material you submit to Repmation. As between you and Repmation, you retain ownership of Customer Content. You grant Repmation a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and modify Customer Content only as reasonably necessary to provide, secure, support, and improve the service.
You represent that you have all rights and permissions needed for Customer Content and that it does not infringe intellectual-property, privacy, publicity, confidentiality, or other rights. Private feedback is made available to the business identified on the review page. You must use private feedback lawfully and must not use it to retaliate against, intimidate, discriminate against, or improperly contact a customer. Do not solicit or submit Social Security numbers, payment-card details, medical information, passwords, or other highly sensitive information through Repmation feedback forms.
Subscriptions, Renewal, and Payment
Paid plans are recurring subscriptions processed through Stripe. By starting a paid subscription and accepting the recurring-billing terms presented at checkout, you authorize Stripe and Repmation to charge the payment method associated with your account at the price and billing frequency shown during checkout, together with applicable taxes and approved add-ons, until the subscription is canceled. The standard plan is $99 per month, includes five active technician seats, and renews automatically each month unless canceled before the next renewal. Each additional active technician seat is currently $10 per month.
Additional seats, add-ons, plan changes, discounts, credits, or promotional offers may change the amount charged. The timing of prorations, credits, and invoice adjustments is determined by the billing configuration shown in Stripe or the Repmation billing area. You are responsible for taxes other than taxes imposed on Repmation's net income. We may suspend paid features or account access after a failed, reversed, disputed, or overdue payment.
Cancellation and Refunds
You may cancel online from the owner Billing page by selecting Cancel at period end, through any cancellation control made available in the Stripe Customer Portal, or through the written methods described in the Refund and Cancellation Policy. Cancellation normally takes effect at the end of the current paid billing period, preserves access through that paid-through date while the account remains in good standing, and prevents the next renewal. Fees already charged are generally non-refundable except as required by law or expressly stated in the Refund and Cancellation Policy.
Third-Party Services and Google
Repmation uses or links to third-party services, including Google, Stripe, Cloudflare, email providers, analytics providers, and other vendors. Third-party services are governed by their own terms, policies, availability, and decisions. Repmation is independent from Google and is not endorsed, sponsored, certified, or operated by Google. Google may accept, reject, filter, delay, remove, or restrict reviews or Business Profiles in its discretion. Repmation is not responsible for third-party outages, policy changes, account restrictions, review publication decisions, or data handling outside Repmation.
Automated and AI-Assisted Features
If Repmation offers automated or AI-assisted suggestions, drafts, summaries, designs, or other outputs, those outputs may be incomplete, inaccurate, or unsuitable. You must review outputs before using or publishing them and remain responsible for the final content, claims, permissions, and decisions.
Intellectual Property
Repmation and its software, designs, interfaces, documentation, trademarks, and other materials are owned by Repmation or its licensors and are protected by law. Except for the limited right to use the service under these Terms, no rights are transferred to you. You may not copy, resell, sublicense, reverse engineer, scrape, probe, bypass security, interfere with operation, or use Repmation to develop a competing service except to the extent a restriction is prohibited by law.
If you provide suggestions or feedback about Repmation, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.
Service Availability and Changes
We may add, change, limit, suspend, or discontinue features to maintain, secure, improve, or comply with law. We do not promise uninterrupted or error-free availability, a particular uptime level, or permanent retention of any feature. Scheduled or emergency maintenance and events outside our reasonable control may affect access.
Suspension and Termination
You may stop using Repmation at any time, subject to subscription cancellation obligations. We may suspend or terminate an account for nonpayment, security risk, unlawful conduct, material breach, review manipulation, platform-policy violations, abuse, or conduct that creates material risk to Repmation or others. When reasonably practicable, we may provide notice and an opportunity to cure. Upon termination, your right to use the service ends. Data may be retained, exported, deleted, or made unavailable as described in the Privacy Policy and our operational retention practices.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPMATION IS PROVIDED "AS IS" AND "AS AVAILABLE." REPMATION DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED AVAILABILITY. WE DO NOT GUARANTEE THAT CUSTOMERS WILL LEAVE REVIEWS, THAT A THIRD PARTY WILL PUBLISH OR RETAIN A REVIEW, OR THAT RATINGS, SEARCH RANKINGS, REVENUE, REPUTATION, OR OTHER BUSINESS RESULTS WILL IMPROVE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPMATION AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; OR THIRD-PARTY PLATFORM ACTIONS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF REPMATION AND THE OTHER REPMATION PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO REPMATION FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
Indemnification
You will defend, indemnify, and hold harmless Repmation and its owners, officers, employees, contractors, affiliates, and providers from third-party claims, damages, penalties, losses, and reasonable legal fees arising from your Customer Content, your review-solicitation practices, your communications with customers, your use of private feedback, your violation of law or platform rules, your infringement of another person's rights, or your material breach of these Terms. Repmation may control the defense of a covered claim, and you will reasonably cooperate.
Honest Reviews of Repmation
Nothing in these Terms restricts your right to provide an honest review or assessment of Repmation's products, services, or conduct. You are not required to transfer intellectual-property rights in an honest review, and Repmation will not impose a contractual penalty merely because an honest review is negative. This section does not protect unlawful content, disclosure of trade secrets or confidential information, harassment, threats, or knowingly false statements.
Disputes and Governing Law
Before filing a lawsuit, each party agrees to send written notice describing the dispute and requested resolution and to allow 30 days for a good-faith attempt to resolve it. Notices to Repmation must be sent to support@repmation.com with the subject "Legal Notice."
These Terms and any dispute arising from them or the service are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. The state and federal courts located in Georgia will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue in those courts, except that either party may seek injunctive or equitable relief in any court with jurisdiction to protect intellectual property, confidential information, account security, or prevent misuse.
Changes to These Terms
We may update these Terms to reflect changes to the service, law, providers, or business practices. We will post the revised Terms and update the date above. Material changes may also be communicated through the service or by email. Unless a later effective date is stated, revised Terms apply when posted. Continued use after the effective date constitutes acceptance, but we may require renewed clickwrap acceptance for material changes.
General Terms
Neither party is liable for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms, together with incorporated policies and any signed order or written agreement, are the entire agreement regarding the service and supersede prior discussions on the same subject. A signed agreement controls over conflicting online Terms to the extent of the conflict.
